Gilead Extends Deadline on Tender Offer to Acquire Arcellx

Gilead Sciences extended the expiration of its tender offer to acquire Arcellx.

The offer, which was previously scheduled to expire Thursday, will now expire April 24.

In February, Gilead agreed to acquire Arcellx in a deal that valued the company at $7.8 billion.

Under the agreement, shareholders will receive $115 a share in cash plus non-transferable contingent value rights worth an additional $5 a share based on future sales of Arcellx's lead pipeline candidate anitocabtagene autoleucel, or anito-cel, an investigational CAR T-cell therapy for patients with the blood cancer multiple myeloma.

As of Tuesday, about 7.5% of outstanding shares were validly tendered.

The transaction is expected to close during the second quarter.
