Advent, FedEx-Led Consortium to Buy Parcel-Delivery Provider InPost for $9.2 Billion

A consortium comprising U.S. private-equity firm Advent International, logistics group FedEx, and investment companies A&R and PPF agreed to buy Polish parcel-delivery provider InPost for $9.22 billion.
InPost offers automated parcel pickup services for business-to-consumer shipments. The consortium said that with a network of 61,000 automated parcel lockers, combined with pick-up and drop-off locations and doorstep delivery options, there is a clear path to significantly grow InPost's network and extend its reach to consumers across Europe.
The consortium will pay 7.8 billion euros ($9.22 billion), or 15.60 euros a share, representing a 50% premium to the share price on Jan. 2 before news of a potential deal was disclosed.
On completion, Advent and FedEx will each hold a 37% stake, with A&R holding 16% and PPF holding 10%.
As part of the deal, PPF will tender its stake and reinvest a part of the proceeds to become a 10% shareholder in the consortium.
InPost said it would continue to operate under its own brand with its head office in Poland and its current management structure led by Chief Executive Rafał Brzoska.
The deal is supported by shareholders representing 48% of the outstanding shares in the company and completion is expected in the second half of the year.
