Nuveen maintains an Average Parent rating as it embarks on a major transition.

Nuveen announced in February 2026 its plan to acquire Schroders by the end of the year, which would create a combined firm managing around USD 2.5 trillion in assets. Valued at roughly USD 13.5 billion, the all-cash deal would see Schroders taken private and delisted from the London Stock Exchange, bringing an end to its long history as an independent, family-influenced British firm. Shareholders are being offered a significant premium, reflecting the strategic importance of the transaction. The deal is supported by irrevocable commitments, meaning key shareholders, including the founding family, are already committed to vote in favor.

Coming a year and eight months into Bill Huffman’s tenure as Nuveen CEO, the merger announcement is in line with Huffman’s prior efforts to diversify Nuveen’s business. Before becoming CEO, Huffman as Nuveen’s president was involved in a series of acquisitions, including the transformative 2014 merger with TIAA. Although previous mergers and acquisitions were not as large as Schroders, Nuveen and TIAA are now fully integrated.

Adding Schroders would give Nuveen global scale—something Huffman has cited as desirable in an industry that’s ripe for consolidation, especially considering ongoing fee pressure. It also holds the promise of a complementary blend of businesses, including a strong US retirement presence through parent firm TIAA, a stable source of private markets and fixed-income assets under management in TIAA’s general account, distribution prowess through Nuveen, Nuveen’s strength in fixed income and real assets, and Schroders’ non-US equities and private-markets acumen. Still, mergers between two large asset managers are rarely uneventful, and execution will be key.
