What is the Investigation About?
Hub Group provides transportation and logistics management services throughout North America. The company, or certain of its officers, has allegedly made false and/or misleading statements and/or failed to disclose material information to investors concerning Hub Group's financial results, accounting practices, and internal controls. It is alleged that the company, or certain of its officers, reported operating revenue, operating income, and transportation costs that did not accurately reflect Hub Group's financial condition and represented that its internal controls and procedures were effective. As alleged, in truth, Hub Group had prematurely or incorrectly recognized certain transactions, understated purchased transportation costs and accounts payable, and lacked effective internal controls, causing its financial statements for periods between 2023 and 2025 to contain material misstatements.
On February 5, 2026, Hub Group announced that it would restate its financial statements for the first three quarters of 2025 because of an error that understated purchased transportation costs and accounts payable. On this news, Hub Group's stock price fell $9.37 per share, or approximately 18.3%, to close at $41.96 per share on February 6, 2026. Hub Group subsequently disclosed that its 2023 and 2024 financial statements were also materially misstated, causing its stock price to decline an additional 12.5%.
