Nomura Fined Over Commerzbank Disclosures During UniCredit Bid
By Michael Hennessey
Germany's markets regulator fined Nomura Holdings 320,000 euros, equivalent to $358,800, saying the Japanese company failed to disclose voting rights in Commerzbank on time during UniCredit's takeover bid for the German bank.
The Federal Financial Supervisory Authority, or BaFin, said Tuesday that the fine relates to incidents from May and June of this year.
Shareholders must notify the issuer and BaFin within four trading days if their voting rights cross certain thresholds.
"Whilst we do not comment on the details of our interactions with regulators, the firm takes adherence to regulations seriously," a Nomura spokesman said.
Nomura was among the shareholders that tendered shares in Commerzbank to UniCredit under the hostile takeover bid.
UniCredit is nearing control of Commerzbank after securing takeover approval from the European Central Bank last week. A hostile offer in July took the Italian bank's stake in Commerzbank to 47.6%.
