MISC in Talks to Join Consortium to Take Yinson Private

KUALA LUMPUR, Malaysia--MISC is in preliminary discussions to join a consortium in a potential deal to take Yinson Holdings private.

The discussions involve Yinson Legacy, affiliates of the company and the Employees Provident Fund, or EPF, said MISC in an exchange filing late Friday.

An indicative offer price of 2.35 ringgit per share, equivalent to $0.58, is being considered.

Under the proposed scheme, the consortium would acquire Yinson shares not already held by Yinson Legacy and parties acting in concert with it, while EPF would retain its existing effective stake.

MISC said there is no certainty that the discussions will result in a transaction, with the final offer price subject to evaluations and other conditions.

Yinson shares were last at 2.15 ringgit, bringing its market capitalization to 6.92 billion ringgit.
