KKR Settles DOJ Lawsuit Over Allegations of Improper Premerger Filings

By Connor Hart

KKR entered a stipulation and order with the Justice Department, resolving a civil lawsuit filed against the private-equity firm last year.

The lawsuit alleged that KKR made improper premerger filings in connection with at least 16 transactions in 2021 and 2022. It also said the firm intended to evade antitrust scrutiny and violated the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

KKR on Thursday said its settlement with the Justice Department's Antitrust Division fully resolves the litigation and all open investigations.

Under the settlement, a subsidiary of KKR will pay $250 million to the Antitrust Division. The company said the penalty will have no financial impact on the firm, its funds or any of its investors.

"We strongly disagree with the Antitrust Division's characterization of this matter," KKR said.

"We believe that our firm acted in good faith at all times under our prior filing process, and that it was consistent with industry practice."

"However, we determined that ongoing litigation would be a significant distraction for our organization, and we are pleased to put this behind us," the firm added.
