Partners Group in Talks to Buy Aroma-Zone Stake in Deal that Values Company at $2.3 Billion — 2nd Update

Partners Group is in exclusive talks to buy a majority stake in Aroma-Zone from Eurazeo in a potential deal that values all of the brand at about $2.3 billion, including debt, according to two people familiar with the transaction.

The companies said Thursday they entered exclusive talks about a majority stake in Aroma-Zone. In a press release, France's Eurazeo said it would retain a significant minority stake in Aroma-Zone, without specifying the size of the stake. The transaction would generate approximately 576 million euros of gross proceeds attributable to Eurazeo's balance sheet, it said.

The parties didn't disclose further financial details.

The deal would value all of Aroma-Zone at around 2 billion euros including debt, according to two people familiar with the transaction.

The Swiss private-equity group provided debt financing for Eurazeo's acquisition of Aroma-Zone in 2021, according to a Partners Group report. The potential transaction would be completed through Partners Group's direct private equity program, it said.

Aroma-Zone has tripled its revenue since 2021 and increased its number of stores, Partners Group said. The company sells beauty and wellness products such as facial serums, oils, masks and makeup.

Partners Group said it intends to support Aroma-Zone's executives to strengthen the brand's presence in new and existing markets and drive growth.
