Nielsen to Buy DoubleVerify — Update

Nielsen Holdings agreed to buy DoubleVerify in an a deal with an enterprise value of about $2.15 billion.

Nielsen will pay $13.60 a share. DoubleVerify shares closed Thursday at $11.71, down 2%. After-hours, the stock was up 13% to $13.19.

The long-dominant powerhouse in TV ratings has had many changes both in focusing on digital media and in its structure. In late 2022, Nielsen was taken private by a consortium including Elliott Management and Brookfield Asset Management for about $16 billion including debt.

DoubleVerify, a software platform that verifies media quality and optimizes advertising performance, is one of the top companies used to detect and filter out bots.

The companies said "DoubleVerify's MRC-accredited quality signals, in combination with Nielsen's deduplicated cross-screen audience measurement, will fuel genuine market innovation -- a single currency that scores media on both audience delivery and media environment quality."

DoubleVerify also said second quarter revenue rose 3% to $193.8 million.

Providence Equity Partners, which owns about 11.8% of DoubleVerify, will conclude its investment upon the deal close.
