German Satellite Maker OHB Seeks to Raise $586 Million From New Share Offering

By Dominic Chopping

German satellite maker OHB priced its previously announced share offer Monday, as it seeks to raise $586 million for investments in production facilities, acquisitions and launch vehicles.

The company outlined its plans to raise fresh capital last week, days after Elon Musk's record-setting SpaceX initial public offering, as it aims to capitalize on increasing investor appetite for the space industry in Europe and accelerate growth.

The offering will raise as much as 510.7 million euros ($585.8 million) through the issue of up to 1.7 million new shares at 300 euros each, a steep discount to Friday's closing price of 405.50 euros.

OHB said its major shareholders, the Fuchs family and KKR-owned Orchid Lux HoldCo, would waive their subscription rights, freeing up around 94% of the new shares for a private placement and increasing the number of shares available for public trading.

The Fuchs family won't sell any of its shares and will remain majority shareholder with a stake of over 60%, while KKR's Orchid Lux will sell up to 1.23 million of its existing shares in conjunction with the offer while retaining the majority of its current shareholding.

OHB said it intends to use the proceeds to boost growth through production investments, to pursue strategic acquisitions and partnerships across Europe, to invest in launch vehicles and structures, fund future projects, and for general corporate purposes.

Shares in OHB fell 5.2% to 384.50 euros in afternoon European trading.
