Anteris Shares Gain After Pricing Public Offering, Agreeing to Private Placement with Medtronic

Shares of Anteris Technologies Global climbed after the company priced a $200 million public offering of its common stock, and said that it agreed to sell $90 million worth of shares of common stock to Medtronic in a private placement.

The stock jumped 17% to $6.71 in premarket trading Wednesday. Shares ended Tuesday's regular session 13% higher, at $5.75, though despite the gain, they are down 4% over the past year.

The medical-device company said late Tuesday that it will sell 34.7 million shares of its common stock for $5.75 a share in a public offering. It will also grant underwriters a 30-day option to buy up to an additional 5.22 million shares for the same price, minus discounts and commissions.

Anteris also agreed to sell up to $90 million worth of shares of its common stock to Medtronic in a private placement, subject to a minimum purchase of 16% of the number of shares of common stock outstanding after the offering and a maximum purchase of 19.99% of the number of shares of common stock outstanding after the offering.

Anteris said it intends to use proceeds from the offering and private placement to support its next stage of growth and advance its clinical strategy.

Barclays, Wells Fargo and Cantor are acting as joint book-running managers for the offering which is expected to close on Thursday.
