Repare Therapeutics Shares Rise on $30 Million Asset Deal With Gilead
By Chris Wack
Repare Therapeutics shares jumped in premarket trading after the company agreed to sell its polymerase theta ATPase inhibitor to Gilead Sciences for up to $30 million.
Shares were 18% higher at $2.57 after the company said it signed a definitive asset purchase agreement with Gilead for RP-3467.
The precision oncology company said that it will receive up to $30 million, including a $25 million upfront payment, subject to customary holdbacks and adjustments, and an additional $5 million payment upon completion of specified technology transfer activities.
RP-3467 is being evaluated for use in adults with locally advanced or metastatic epithelial ovarian cancer, metastatic breast cancer, metastatic castration-resistant prostate cancer or pancreatic adenocarcinoma.
On Nov. 14, Repare agreed to be bought by XenoTherapeutics. Under the terms of the deal, Repare shareholders will receive a cash payment per share that will be based upon Repare's cash balance at closing of the transaction after deducting certain transaction costs and the aggregate amount of outstanding liabilities.
Repare said the upfront portion of the consideration payable under the Gilead agreement has increased its cash balance and, therefore, has also increased the estimated closing net cash amount. Based on Repare's revised estimate of the closing net cash amount, it is now currently estimated that each Repare shareholder will receive a cash payment of $2.20 a share at the closing.
