Plenitude to Buy Acea Energia for Up to $799 Million

Italy's Plenitude, part of the energy group Eni, reached a deal to buy Acea Energia for up to 687 million euros ($798.7 million).
The company said Wednesday that it will pay 460 million euros when the transaction is completed, in addition to recognizing normalized net cash of up to 127 million euros.
The deal allows for a possible additional price component of up to 100 million euros, which Acea--current owner of Acea Energia--would receive if some performance goals are met as of June 30, 2027, Plenitude said.
The acquisition, which is expected to be finalized by June 2026, will allow Plenitude to add more than 1.4 million retail customers to its portfolio in Italy, boosting its total in Europe to over 11 million, it said.
The agreement is conditional on the approval of competition authorities.
