Valvoline Posts Higher 4Q Sales, Says FTC Approved Breeze Autocare Acquisition

Valvoline reported higher fourth-quarter sales and said it has received clearance from the Federal Trade Commission to close its acquisition of Breeze Autocare.
The company posted net income of 20 cents a share, down from 71 cents a share the year prior. Adjusted earnings were 45 cents a share. Analysts had expected 47 cents a share, according to FactSet.
Sales rose 4% to $453.8 million. Wall Street had expected $454.4 million. System-wide same-store-sales rose 6%.
Valvoline guided for fiscal 2026 system-wide same-store-sales growth of 4% to 6%, net revenues of $2 billion to $2.1 billion and adjusted earnings of $1.60 to $1.70 a share.
Analysts see fiscal 2026 system-wide same-store-sales growth of 5.4%, net revenues of $1.93 billion and adjusted earnings of $1.90 a share.
The company said its Breeze Autocare acquisition is now expected to close on Dec. 1. The company will acquire 162 stores after 45 stores are divested to Mainstreet Auto at a net purchase price of $593 million.
