Metsera Shares Leap Premarket as Novo Nordisk Looks to Outbid Pfizer

By Colin Kellaher

Shares of Metsera rose sharply in premarket trading Thursday after Novo Nordisk made an unsolicited proposal to buy the weight-loss drug developer for up to $9 billion, potentially upending Pfizer's agreement to acquire the company.

Novo said it has offered to pay an initial $56.50 a share, or about $6.5 billion, for Metsera, along with contingent value rights worth up to $21.25 a share, bringing the total potential consideration to $77.75 a share.

Pfizer last month agreed to pay an initial $47.50 a share in cash for Metsera, along with up to an additional $22.50 a share tied to milestones that could bring the total consideration to $70 a share, or about $7.3 billion.

Shares of New York-based Metsera, which closed Wednesday at $52.21, were recently up more than 18% at $61.83 in premarket trading.

Novo said its proposal is subject to review by Metsera's board.
