Blackstone, TPG to Buy Hologic for Up to $18.3 Billion

Blackstone and TPG are buying Hologic for up to $18.3 billion, including debt.

Under the terms of the deal, Blackstone and TPG agreed to acquire all outstanding Hologic shares for $76 apiece in cash, Hologic said Tuesday. The deal also includes a non-tradable contingent value right to receive up to $3 a share in two payments of up to $1.50 each, for total consideration of up to $79 a share.

The CVR is set to be issued on closing and paid on achievement of certain global revenue goals for Hologic's breast-health business in fiscal years 2026 and 2027, said Marlborough, Mass.-based Hologic.

The price represents a roughly 46% premium to Hologic's closing price on May 23, which the women's-health company said was the last full trading day prior to reports of a possible transaction.

Blackstone and TPG have secured committed financing for the transaction, expected to close during the first half of 2026, subject to approvals and closing conditions.

Hologic Chief Executive Stephen MacMillan said the deal will help accelerate growth, enhancing the company's ability to deliver medical technologies to customers and patients worldwide.
