Recently a securities fraud complaint was filed against Charter on behalf of certain investors who purchased shares of the company’s stock between July 26, 2024 and July 24, 2025 (the “Wrongdoing Period”). According to the complaint, during the Wrongdoing Period, the defendants made a series of materially false and misleading statements to investors concerning Charter’s business, operations, and prospects.
As further detailed in the complaint, on July 25, 2025, Charter issued a press release reporting disappointing quarterly financial results and a sharp decline in Internet customers. Following this disclosure, as well as additional details about the quarterly results provided in the related earnings conference call, shares of Charter’s stock fell $70.25 per share, more than 18% in value, to close at $309.75 per share on July 25, 2025, on unusually heavy trading volume.
The investigation seeks to determine whether the members of Charter’s board of directors violated the securities laws and/or breached their fiduciary duties in connection with the above alleged misconduct.
