(3)	This amended Form 4 is being filed to correct an error to Item No. 9. titled "Number of derivative Securities Beneficially Owned Following Reported Transaction(s) (Instr. 4)" contained in a Form 4 Report filed on September 18, 2012. The previous number was erroneously listed as 2,250,000. The 250,000 are Series A Preferred shares that are convertible on a one-to-one basis into common shares on demand of the holder.
