EXPLANATORY NOTE

This Amendment No. 1 to the annual report of News Corporation (the “Company”) on Form 10-K/A (“Form 10-K/A”) amends our annual report on Form 10-K for the year ended June 30, 2012, which was originally filed on August 14, 2012 (“Original Form 10-K”). This amendment is being filed for the purpose of providing separate audited financial statements as of June 30, 2012 for British Sky Broadcasting Group plc, a limited liability company incorporated in England and Wales and domiciled in the United Kingdom, whose ordinary shares are admitted to trading on the London Stock Exchange, and in which the Company holds an approximate 39% interest (“BSkyB”), as required under Rule 3-09 of Regulation S-X. BSkyB is solely responsible for the form and content of the BSkyB financial statements provided herewith.

This Form 10-K/A sets forth an amended “Item 15. Exhibits and Financial Statement Schedules” in its entirety and includes the new certifications from the Company’s principal executive officer and principal financial officer.

Except as expressly noted herein, this Form 10-K/A does not modify or update in any way disclosures made in the Original Form 10-K and does not reflect events occurring after the filing of the Original Form 10-K.
