SAN FRANCISCO (MarketWatch) - Dell Inc. DELL shares were downgraded to market perform from outperform by Bernstein Research analyst Toni Sacconaghi who said the plan to take the company private will likely be approved. "We believe a deal is likely to be closed at or modestly above the current offer of $13.65," he wrote. He also said "a small risk exists that shareholders will not approve the deal, which would likely create material near-term downside for the stock, but overall, we see the risk-reward for the stock as being largely in balance." Shares of Dell Inc. were last trading up a fraction at $13.83. Two of the company's biggest institutional shareholders, Southeastern Asset Management and T. Rowe Price, have come out against the buyout deal.
