In addition, Sauer-Danfoss declared a dividend for the first quarter of 2013 in which stockholders as of March 15, 2013 will receive a cash dividend of $0.35 per share, payable on March 29, 2013. The investigation concerns whether the Sauer-Danfoss Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether Danfoss is underpaying for Sauer-Danfoss shares, thus unlawfully harming Sauer-Danfoss stockholders.
